Greenberg Traurig Represents Jarden Corporation in its $1.75 Billion Acquisition of Yankee Candle

CHICAGO, Oct. 3, 2013 /PRNewswire/ -- A multi-office team of attorneys with international law firm Greenberg Traurig, LLP represented Jarden Corporation (NYSE: JAH) in the acquisition of Yankee Candle from a fund managed by Madison Dearborn Partners, LLC, a private equity firm.  The transaction closed today and was valued at $1.75 billion in cash, subject to working capital and other adjustments.

The Greenberg Traurig team was led by Chicago corporate & securities shareholders Gary H. Silverman, Fred W. Blakeslee and Peter H. Lieberman. The team also included corporate & securities shareholder Frank R. Adams in London and New York. Robert D. Simon, a shareholder in Washington, DC and Denver advised on the tax portion. Stephen C. Tupper, shareholder in the London office, worked on the antitrust and regulatory matters, and Zachary M. Schlichter, an associate in the corporate & securities practice of the firm's Fort Lauderdale office also assisted with the transaction.

Mr. Silverman has represented Jarden Corporation in a number of previous transactions, including in its acquisition of the Mapa Spontex Baby Care and Home Care businesses of Total S.A., as well as its acquisitions of Pure Fishing, Inc. and Diamond Brands, Inc.  Jarden's acquisition of Yankee Candle extends its portfolio of market-leading, consumer brands in niche, seasonal staple categories, while creating opportunities in cross-selling, broadening the global distribution platform, and deepening Jarden's talent bench.
